Bank Mayora Acquisition Completed, BNI Collaborates with Sea Limited to Develop Digital Bank

JAKARTA , KOMPAS.com – PT Bank Negara Indonesia (Persero) Tbk ( BNI ) has completed the acquisition process of Bank Mayora . This was revealed by the President Director of BNI Royke Tumilaar in a virtual Public Expose, Tuesday (26/4/2022).

“The acquisition is complete. We are now making and preparing preparations for the development of Bank Mayora’s business, in which tech partners are already involved , namely Sea Limited or Shopee owners,” said Royke.

For information, the plan to acquire Bank Mayora by BNI was decided at the Annual General Meeting of Shareholders (AGM), in March 2022, which is targeted to be completed in April 2022 at the latest.

Royke said that now the team had been formed and started to work, both teams in Indonesia and abroad. For the initial stage, the team will build technology from a digital bank.

“So the Shopee owners are now involved in the preparation of the business model, including in designing the technology, and have started working both in Indonesia and abroad. We are currently also developing the technology,” he explained.

BNI’s acquisition of Bank Mayora was 63.92 percent, so BNI automatically became the majority shareholder, with ownership of 1.19 billion shares of the total issued and paid-up shares in Bank Mayora.

While the remaining 673.31 million shares or 36.08 percent will be held by PT Mayora Inti Utama. However, with the presence of Sea Limited, of course, it no longer places BNI as the majority shareholder. So that BNI is open to if its share ownership is deluded from 60 percent to 50 percent if Sea Limited takes a portion of ownership.

“But indeed we are not yet a shareholder, but at a certain time we are open to being deluded from 60 percent to 50 percent if Sea Limited will take a portion of ownership,” said Royke.
